Terms of Service.

1. The service

In plain termsSubLimit is software you run on your own Windows computer to prepare workforce and subcontracting-limit reports. We sell access to it by monthly subscription.

These Terms are an agreement between you (the business subscribing) and Profitpin LLC (“Profitpin LLC”, “we”, “us”). They cover the getsublimit.com website, the SubLimit Windows application (“the App”), the license service that confirms your subscription, and support. By starting a subscription, signing in from the App, importing an activation file, or using the App, you agree to these Terms and to the Privacy Policy.

SubLimit is intended for businesses. You confirm that you are at least 18 and are subscribing on behalf of a business you are authorized to bind.

2. Subscription, free month, and automatic renewal

In plain termsA card is required to start. Nothing is charged for 30 days. From day 31, your card is charged $149.99 every month until you cancel. Cancel any time from your billing page; you keep access to the end of the period you paid for.

Free month. A new subscription begins with a 30-day free trial. A valid payment card is required to start it. You will not be charged during the trial.

Automatic renewal. When the trial ends, your subscription converts to a paid monthly subscription at US $149.99 per month, plus any applicable taxes, and is charged automatically to your card on the same day each month until you cancel. There is no annual plan and no minimum term.

How to cancel. In the App, open Overview → Activation and choose Manage or cancel subscription; this opens your Stripe billing page, where you can cancel, update your card, and download invoices. You can also email support@getsublimit.com from the address you signed up with and we will cancel for you. Cancelling during the free month means you are never charged. Cancelling later stops the next charge; you keep access until the end of the period already paid.

Reminders. We send an email before your free month ends so the first charge is not a surprise.

Failed payments. If a charge fails, Stripe emails you and retries for a period of days. The App keeps working until the signed access it already holds expires (the paid period plus a short grace). If payment is not collected, the subscription ends and the App stops new calculations until it is restarted.

Price changes. We may change the price with at least 30 days' notice by email. The new price applies from your next renewal after the notice period. If you don't agree, cancel before then.

Payments are processed by Stripe. We do not see or store your card number. See the Refund & cancellation policy for refunds.

3. License to use the App

In plain termsWhile you're subscribed, your company can install and use SubLimit on two of its own Windows computers. Don't resell it, share your sign-in, or take it apart.

While your subscription is active (including the free month), Profitpin LLC grants your business a limited, non-exclusive, non-transferable license to install and use the App on up to two Windows computers your business controls, for its own workforce reporting. One subscription covers one company. Local files do not sync between the two computers.

You may not: resell, sublicense, rent, or provide the App as a service to others; share your sign-in, activation credentials, or activation files outside your business; remove notices; reverse engineer, decompile, or circumvent the activation check, except where law expressly permits; or use the App to build a competing product.

The App and website are owned by Profitpin LLC and protected by copyright. Your data is yours (section 5). We may update the App at any time; some updates may be required to keep the App working with changed spreadsheet formats or reporting forms.

4. Your responsibility for your reports

In plain termsSubLimit does the arithmetic and keeps the evidence. It does not certify, sign, or submit anything. Your officer reviews the result and is responsible for what is filed.

SubLimit calculates subcontracting figures from the payroll, subcontractor, and payment records you import, flags missing or unsupported facts, and prepares unsigned draft documents. It does not: submit anything to any government agency or contracting officer; certify that a report is accurate or compliant; determine whether a worker or vendor is correctly classified; or give legal, accounting, or contracting advice.

The results depend entirely on the files, mappings, and facts you enter and confirm. Unknown identities and unsupported facts are flagged, never guessed; it is your job to resolve them. A result within a limit means the records you provided support that figure, not that every contractual or legal requirement has been met.

You remain solely responsible for your workforce records, for the accuracy and completeness of what you certify and file, and for compliance with the contracts, regulations, and laws that apply to your business. SubLimit is independent software and is not affiliated with, endorsed by, or approved by any government agency.

5. Your data

In plain termsPayroll, subcontractor, and contract data stay on your computer. The only things the App sends us are your sign-in email, a random installation ID, and the credentials that prove your subscription.

The App processes your payroll, subcontractor, receipt, and contract files on your own computer and does not upload them to us or anyone else. Reports, drafts, source evidence, and history are saved in a local workspace on that computer, optionally encrypted with a password you choose. When you sign in, the App sends your email address (and the one-time code you enter), a random installation identifier, and, on later checks, the device credential it was issued — nothing about your workforce or contracts. While the App is open it re-checks your subscription about every twelve hours; offline it keeps working until the signed access it holds expires. The Privacy Policy describes exactly what we collect.

Because your data lives on your computer, backing it up and protecting that computer — and the passwords for protected workspaces and backups, which we cannot recover — is your responsibility.

6. Warranty disclaimer

In plain termsWe work hard to make SubLimit accurate, but we can't promise it will fit every file, every contract, or every rule. It's provided as is.

THE APP, WEBSITE, AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT PERMITTED BY LAW, PROFITPIN LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND DOES NOT WARRANT THAT THE APP'S CALCULATIONS WILL SATISFY ANY CONTRACT, AGENCY, OR REGULATION, BE ERROR-FREE, OR WORK WITH EVERY EXPORT FORMAT. Some jurisdictions do not allow certain disclaimers, so some of this may not apply to you.

7. Limitation of liability

In plain termsIf something goes wrong, the most we owe you is what you paid us in the last 12 months. We aren't liable for contract penalties, lost awards, or other indirect losses.

TO THE FULLEST EXTENT PERMITTED BY LAW, PROFITPIN LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST CONTRACTS OR AWARDS, REGULATORY OR CONTRACTUAL FINES OR PENALTIES, OR LOSS OF DATA, ARISING FROM OR RELATED TO THE APP OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY. PROFITPIN LLC'S TOTAL LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE SUBSCRIPTION FEES YOU PAID IN THE TWELVE MONTHS BEFORE THE CLAIM. Some jurisdictions do not allow these limits, so some may not apply to you.

8. Support and updates

Support is by email at support@getsublimit.com, in English, during US business hours, on a best-effort basis. We aim to answer within one business day. Support covers installing and using the App, activation, billing, and understanding its reports; it does not include preparing or reviewing your reports for you, classifying workers, or advice about your contractual or legal obligations. Please do not send worker records, unredacted screenshots, workspace archives, or passwords.

We may release updates that add, change, or remove features. Some updates are required for the App to keep working. We don't promise that any particular feature will remain available.

9. Third-party products and services

SubLimit reads spreadsheets and exports produced by your payroll, accounting, and government systems, and can produce drafts for Microsoft Word. Those products belong to their owners and are governed by their own terms. Profitpin LLC is not affiliated with, endorsed by, or responsible for them. Payments are processed by Stripe under Stripe's terms. Open-source components in the App are listed on the Third-party notices page.

10. Acceptable use

You agree not to use the App or website to violate any law; to interfere with or overload the license service; to probe, scan, or test its security without written permission; to share, publish, or automate the use of sign-in codes, device credentials, or activation files outside your business; or to misrepresent SubLimit's output as a certification, audit, or legal opinion.

11. Feedback

If you send us suggestions, feature requests, or sample file formats (with names and amounts removed), you agree we may use them to improve SubLimit without any obligation or payment to you.

12. Indemnification

You will defend and indemnify Profitpin LLC against third-party claims, fines, and expenses (including reasonable legal fees) arising from your workforce records, the reports you certify or file, your use of the App in violation of these Terms or the law, or any decision you make based on the App's output. This does not apply to claims caused by our own breach of these Terms.

13. Termination

You may cancel at any time (section 2). We may suspend or end your access if you materially breach these Terms (for example, sharing credentials or circumventing activation) or if payment is not collected. When a subscription ends, the App stops new calculations; history, verification, backup, restore, and export of what is already saved on your computer remain available and remain yours.

14. Changes to these Terms

We may update these Terms. For material changes we will email the address on your subscription at least 30 days before they take effect. Continuing to use the App after that date means you accept the updated Terms; if you don't, cancel before then. The current version is always at getsublimit.com/terms.

15. Governing law and disputes

These Terms are governed by the laws of the State of Colorado, USA, without regard to conflict-of-law rules. Before filing any claim, you agree to contact us at support@getsublimit.com and give us 30 days to resolve it. Any claim that isn't resolved will be brought in the state or federal courts located in Colorado, and you consent to their jurisdiction. Nothing here limits rights you have under the consumer-protection laws of your state that can't be waived.

16. General terms

Electronic communications. You agree that we may send notices, receipts, sign-in codes, and legal notices to the email address on your subscription, and that those count as written notice.

Availability. SubLimit is offered to businesses in the United States. Using it elsewhere is at your own risk and subject to local law, including export-control and sanctions rules.

Force majeure. Neither of us is liable for delays or failures caused by events outside reasonable control, such as outages at Stripe, Render, GitHub, or Microsoft, internet failures, or acts of government.

Assignment. You may not transfer your subscription without our consent. We may assign these Terms to a successor that takes over SubLimit, and will tell you if we do.

Entire agreement; severability; waiver. These Terms, the Privacy Policy, and the Refund & cancellation policy are the whole agreement between us about SubLimit and replace any earlier understanding. If a court finds part of them unenforceable, the rest still applies. Not enforcing a term once doesn't waive it later.

Survival. Sections 4, 5, 6, 7, 12, 15, and 16 survive the end of your subscription.

No third-party beneficiaries. These Terms are for you and Profitpin LLC only.
